 |
1) Goods are always sold on ex-works basis, also when free delivered. Goods are delivered to the forwarder for transport to the final destination and client takes all risks from departure ex factory.
2) Goods travel at client's own risk but the goods remain property of MODACOM SRL until the whole delivery has been fully paid. Even if the property of the goods is given to the buyer after full payment, any risk about loss or wrong use of them is under client's responsability.
3) All claims concerning the contract performance or quality of the goods supplied, even if not evident, must be notified within 15 days after reception of goods. Return of used or handled goods is not accepted.
4) Client cannot proceed with actions or complaints against MODACOM SRL until full payment of amount specified in the invoice (according to art. 1462/1).
5) Client takes note that all sales terms here established are essential and inalienable for MODACOM SRL who has the right to break off the contract in case of not keeping of even one term and to ask immediate settlement of any credit.
6) Failure to pay even a single instalment within the terms agreed or a difficult financial situation gives MODACOM SRL the right to:
- stop deliveries of the running contracts
- ask the immediate paymen of all credits
- ask for payment in advance or letter of credit for future deliveries or cancel the contract.
7) In case of instalment payments, all balances expire in case of non payment of 1 instalment.
8) Contract execution place is Carpi.
9) For any complaint or dipute concerning this contract, place of jurisdiction is the Court of Modena.
